An overdue annual report can stall a funding request before anyone looks at your bank statements. Here is how to check yours first.

In short

Lodgehollow Funding Group explains, for owners in New Bern, NC and Craven County, North Carolina entity status in a funding request. This guide covers why partners may check an LLC's annual report and standing with the Secretary of State, how to look up your own record, what mismatches can cause delays, and where filing rules and fees are published.

Why Partners Check Entity Status

When a funding partner reviews a request from an LLC or corporation, it may check whether the entity legally exists and is in good standing with the state. The partner is lending to, or buying receipts from, the entity, not just the owner. If the state record shows the company as out of compliance, or the name does not match the bank account, the review can pause until it is fixed.

The Secretary of State's Business Registration Division publishes the annual report requirements for North Carolina companies; confirm them there. A record that is not current can leave a file on hold.

What an NC Annual Report for an LLC Does

The state's record of a company can show its principal office, its registered agent and the people who manage it, and the annual report is one way that record is kept current; confirm what yours covers with the Secretary of State. A partner may use that record to confirm who can sign for the business and where it is based. If your mailing address moved from one New Bern, NC ZIP to another, or a member left, the report is where that change shows up.

NC Annual Report Lookup

You can check your own company's record through the Secretary of State's Business Registration Division, which was checked on October 18, 2026. Search by the exact legal name as it appears on your formation documents, then look at:

  • The legal name, spelled exactly as on your bank account
  • The entity type and formation date
  • The current status shown on the record
  • The registered agent and its address
  • The date of the most recent annual report on file

NC Annual Report Filing Online

Confirm with the Secretary of State's Business Registration Division whether and how a company can file online; the page linked above is the starting point. Keep the confirmation once you file, because a partner may ask for proof that a recently filed report has been accepted.

Mismatches That Slow a File

Even with an active status, small differences cause questions:

  • The bank account is in a trade name while the state record shows the LLC's legal name
  • The address on the annual report is an old one
  • The person signing the funding documents is not listed on the state record
  • The business converted from a sole proprietorship but the bank account was never retitled

Each of these is fixable, but fixing them before the request goes in saves days. If you operate under a different name, ask your accountant or attorney whether it is properly registered.

What to Have Ready Alongside Status

Once the state record is current, the rest of the file is usually bank statements, a debt schedule and, for larger requests, tax returns. The four steps from call to decision list them in order. Larger purchases on a term loan may also need formation documents and an operating agreement.

A Pre-Request Checklist

  1. Look up the company's record and confirm its status and latest annual report.
  2. Compare the legal name on the record with the name on the business bank account.
  3. Check that the principal office and registered agent addresses are current.
  4. Confirm the person who will sign funding documents appears on the record.
  5. Save a copy or screenshot of the record to send with the file.

Ten minutes spent on this list before calling can save days once a partner is reviewing the file.
